A practical Texas business registration sequence

Choose the legal structure

Compare a sole proprietorship, partnership, limited liability company and corporation before filing. Formation with the Texas Secretary of State is generally relevant to LLCs, corporations and certain partnerships.

Clear and register the name

Search state records for an entity name. Assumed-name requirements can differ by structure and location, so confirm whether a filing belongs with the Secretary of State, a county clerk or both.

Complete the tax and operating setup

Obtain an EIN when required, review Texas Comptroller registrations, check sales tax and franchise tax obligations, and identify occupational or premises permits before trading.

Houston businesses

Add local checks for certificates of occupancy, building or fire approvals, signage and industry-specific permits. A state entity filing does not approve a physical location.
